Soundings Thrive Terms & Conditions
Welcome to Soundings Thrive! These Terms & Conditions (“Terms”) are designed to create a safe, collaborative space where members can connect, grow, and participate in opportunities while protecting the integrity of the Community and its relationships.
By signing below, you (“Member”) agree to abide by these Terms for as long as you are part of the Soundings Thrive community (“Community”).
1. Community Membership & Relationship
Membership in Soundings Thrive begins when an individual:
Applies and is accepted into the Community through Soundings’ registration or vetting process,
Agrees to these Terms & Conditions (by signature or electronic acknowledgment), and
Maintains an active profile in the Soundings system or platform.
Active Membership requires keeping profile information current, remaining responsive to communications from Soundings, and engaging in the Community in good faith. Membership may lapse if a profile is inactive or unresponsive for a significant period, as determined by Soundings.
Membership grants access to Community resources, events, and potential project opportunities but does not guarantee work.
No Employment Relationship: Membership does not create an employer-employee, joint venture, or partnership relationship between Member and Soundings.
2. Confidentiality & Non-Disclosure
Member may gain access to confidential information regarding Soundings, its clients, and other Members.
Confidential Use: Member agrees to use such information only for participation in the Community or performance of projects arranged through Soundings.
Protection: Member will not share confidential information with third parties and will return or delete it upon request or membership termination.
3. Non-Solicitation & Non-Circumvention
To protect the integrity of the Community and Soundings’ business relationships, Member agrees to the following:
Engagement Through Soundings:
Member agrees that for any client, company, or individual that Soundings introduced to Member or facilitated a connection with during membership, Member will not bypass Soundings to contract directly for the same or substantially similar services for a period of one (1) year following the last date of such introduction or connection.
This obligation:
Applies only to opportunities facilitated by Soundings (e.g., Soundings-hosted events, interviews, networking sessions, or project opportunities).
Does not restrict Member from independently doing business with companies they had prior relationships with, or with companies Soundings did not introduce.
Respect for Community Members:
Members will seek Soundings’ written approval before recruiting or soliciting other Members for paid work or third-party projects outside of Soundings.
4. Professional Expectations
Members are expected to:
Treat other Members, clients, and Soundings staff with respect and professionalism.
Engage constructively and contribute to a positive, inclusive Community.
Avoid conduct that could harm the reputation of Soundings or its clients.
Maintain Accurate Profile: Keep profile information true, accurate, and current, including skills, certifications, and any work eligibility information required for participation in projects.
5. Marketing & Public Representation
Soundings may wish to highlight Member achievements or feature Member profiles in community spotlights, marketing materials, or case studies. Soundings will request Member’s permission before publishing or using their name, likeness, or professional information for such purposes.
Members agree not to publicly represent themselves as an employee or worker of Soundings, including on platforms such as LinkedIn, without prior written approval from Soundings.
6. Termination of Membership
By Soundings: Soundings may suspend or terminate membership at any time, with or without cause, if Member violates these Terms, becomes inactive, or otherwise disrupts the Community.
By Member: Member may withdraw from the Community by written notice to Soundings.
Survival: Confidentiality, non-solicitation, and non-circumvention obligations remain in effect for the periods stated above after membership ends.
7. Dispute Resolution & Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
Any dispute arising out of or relating to these Terms will first be addressed through good-faith negotiations between the parties. If unresolved, the parties agree to submit the dispute to binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration may be conducted virtually or in a location determined by the arbitrator in accordance with AAA rules. Judgment on the arbitration award may be entered in any court having jurisdiction.
8. Acceptance
By signing below, Member acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions for the duration of their membership in Soundings Thrive.
IN WITNESS WHEREOF, the parties have executed these Terms & Conditions as of the date set forth below.
